Terms of service
The agreement between your business and ours. It is written in the same plain terms as the rest of this site, because an agreement you cannot read is one you cannot rely on — and the parts most likely to matter to you are sections 5, 7 and 11.
Effective 1 September 2026 · Last updated 1 September 2026
Who this is between, and when it starts
1.1 These terms are an agreement between you — the business that registers or uses a Ledgr account — and BC Mobile Technologies (Pty) Ltd, a company registered in South Africa and based in Cape Town, which operates Ledgr. In this document Ledgr, we and us mean that company in respect of the Ledgr service.
1.2 They take effect when you first register an account, and they continue for as long as you hold one, whether or not you are paying for it.
1.3 If you are agreeing to these terms on behalf of a business, you confirm you are authorised to bind it. If you are an accountant, bookkeeper or practice acting for a client, you confirm you have your client's authority to act — and you remain responsible to us for the accounts you open.
1.4 The privacy policy forms part of this agreement. Together they are the whole of it; see section 23.4.
1.5 South African law governs this agreement, including the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002 and the Protection of Personal Information Act 4 of 2013. Nothing here limits any right you have under those Acts that cannot lawfully be limited.
Definitions
Scroll the table sideways to see every column.
| Term | What it means here |
|---|---|
| Service | The Ledgr application, its API, the customer, employee, supplier and driver portals, and this website. |
| Account | The tenant record that holds your books. One account may contain more than one company, subject to your plan's allowance. |
| Plan | The subscription tier you are on, and what it includes. Published at ledgrsa.com/pricing. |
| Add-on | An optional capability bought alongside a plan rather than by upgrading — an extra company, a seat pack, a module. |
| Term | The month or the year you have paid for. It ends on the expiry date shown in Settings → Billing & Plan. |
| Your Data | Everything you put into Ledgr or that Ledgr computes from it — your books, your documents, your uploaded files, and the personal information of your customers, employees and suppliers. |
| User | A person you have invited who signs in to your account. A customer viewing an invoice, an employee fetching a payslip, a supplier or a driver using a portal is not a user and costs you no seat. |
What we provide
3.1 We provide Ledgr as a hosted service, on the plan you have chosen, for the term you have paid for. What each plan includes is published on the pricing page and shown in the app.
3.2 We may add capabilities, improve existing ones and fix faults at any time. We will not materially reduce what your plan includes during a term you have already paid for; if we need to, section 21 applies and you may cancel and be refunded the unused part.
3.3 Ledgr is offered on a free plan and on paid plans. The free plan is genuinely free — there is no card to begin, and it does not expire — and it is limited in what it includes, as the pricing page sets out.
3.4 Some capabilities depend on a third party you connect yourself — a payment gateway, a bank feed, WhatsApp. Section 12 governs those.
Your account, your users, your credentials
4.1 You are responsible for everything done under your account, including by the users you invite. Give people the role that matches what they do; Ledgr's permissions are per module and per action precisely so that you can.
4.2 Keep credentials confidential and do not share a login between people. Sharing one login defeats the audit trail, which is the record you will want when something is disputed. We strongly recommend two-factor authentication, and it is available on every plan at no charge.
4.3 Tell us promptly at security@bcmobiletech.co.za if you believe an account has been compromised. You can revoke a session per device, and reset a colleague's two-factor enrolment, from inside the app.
4.4 Your plan includes a number of user seats and a number of companies. Both are enforced when you add the next one, never retrospectively: if an allowance changes, or you move to a smaller plan, nothing already in your account is hidden, locked or removed.
4.5 You are responsible for the accuracy of what you enter. Ledgr computes correctly from what it is given; it cannot know that a figure was typed wrongly.
Fees, terms and how renewal actually works
5.1 Prices are published on the pricing page and confirmed at checkout. The total shown at checkout is the amount charged, and nothing is added to it afterwards. Fees are payable in South African rand.
5.2 A term is one, three, six or twelve months, chosen by you. A twelve-month term is billed for eleven months of the twelve — the twelfth month is free in return for committing to a year.
5.3 Payment is by card, through our payment provider's own hosted checkout. Ledgr never sees or stores your card details.
Our payment gateway does not support charging a stored card, so Ledgr cannot do it. Nothing is charged automatically. Every renewal is a link you tap. In practice, that makes it our job to ensure a renewal never takes you by surprise, and section 5.5 explains how.
5.5 Before your term ends we raise the renewal, prepare a payment link and email it to you: seven days before on a one, three or six-month term, and thirty days before on a twelve-month term (with a further reminder at seven days). If it is not paid we remind you again three days before, and three and ten days after the date has passed. You can keep working normally for seven days after the date; after that your books become read-only until the renewal is paid. The renewal is abandoned twenty-one days after the date and the plan lapses — see section 7. You can turn the automatic renewal reminders off, and back on, with the auto-renew switch in Settings → Billing & Plan.
5.6 A renewal is added to your existing expiry date, not to today. Paying a week early buys you a full term and costs you nothing in unused days.
5.7 Changing plan starts a fresh term and credits the unused part of the one you are leaving. The credit is computed from what you actually paid, not from the current list price — so a discount, an older price or a superseded band is honoured. Where the credit covers the whole new price, the change goes through at zero and no payment is involved.
5.8 Where we have issued you a licence key by hand — a partner arrangement, a pilot, a negotiated term — that key governs your entitlement for its own duration. A dated key does not renew itself; you are told before it expires and invited to subscribe.
5.9 Late payment does not accrue interest on a subscription: the term simply does not renew, and section 7 takes over. Where we have invoiced you on account rather than through the checkout, an overdue invoice accrues interest at the maximum rate permitted under the National Credit Act, and we may suspend the service on fourteen days' written notice.
5.10 We may change our prices. A change never affects a term you have already paid for, and we will tell you at least thirty days before it applies to your renewal.
Usage charges, and the things we deliberately do not meter
6.1 Four things are charged by how much you use them. None of them is a charge that happens without warning. On a one-month term, anything you use beyond your plan's allowance is added to your next renewal. On a three, six or twelve-month term it is billed separately at the end of each month, as its own usage bill with its own payment link; a month that comes to less than R20 is carried to the next bill rather than charged on its own.
- Payroll — included up to 10 employees, then banded by headcount
- Storage — each plan includes an allowance, and space beyond it is R18 per whole gigabyte per month, measured from what you are storing
- WhatsApp messages — each plan includes a monthly allowance, then R0.65 a message
- AI receipt scans — each plan includes a monthly allowance, then R0.45 a scan
Add-ons — an extra company, a seat pack, a module bought instead of upgrading — are not usage charges. They are a fixed monthly price, paid with your plan for the term you choose.
6.2 A usage card in Settings → Billing & Plan warns you at 80% of any allowance, before anything is charged. Nothing is switched off for going over a monthly allowance — you are told, and it is billed as set out in 6.1. The one limit is a daily one on WhatsApp: in any 24 hours a company can send up to its plan's monthly allowance of messages, so that a fault cannot send thousands in one go; sending resumes automatically as the 24-hour window moves on.
6.3 We do not meter transactions. Invoices, bills, journal entries, bank lines, documents and reports are not counted or charged for on a paid plan, however many you raise. Users and companies are not charged individually — every plan includes an allowance, and only those beyond it cost anything.
6.4 Where an add-on would cost you more than the plan that already includes it, the app tells you so. We would rather you moved to the right plan than quietly paid more.
Cancelling, lapsing, and what happens to your books
This is the section to read before you sign up rather than after you leave.
7.1 Cancelling means stop renewing. Switch auto-renew off in Settings → Billing & Plan, or tell us. Nothing is switched off early: you keep everything you paid for, until the day you paid for it. There is no refund of a term already begun, and none is required, because nothing is being taken away from you.
7.2 A plan also ends by lapsing — a renewal that is not paid within twenty-one days of the date it was due. The consequence is identical to cancelling, and the month in 7.3 is counted from the day the paid term ended, not from the day the renewal was abandoned.
7.3 After the plan ends, your books stay readable for one month. You can sign in, open every report, and export everything. Writing is blocked; reading is not. Warnings go out 21, 7 and 1 days before that month runs out, naming the exact date.
7.4 From the date in the warnings, the account can be closed for good. This is not reversible. That date is the earliest it can happen. Closing deletes every file uploaded to the account — receipts, photographs, signatures, logos, and the backups we made of it — erases the name, email address and password of every user on it so nobody can sign in again, and closes the account so nothing in it can be opened through Ledgr. It does not erase the records you typed in: your accounting entries, invoices, contacts and employees stay in our database, closed off and unreachable, and are not anonymised. The privacy policy says how to ask for personal information in them to be destroyed. Export before the date in the warnings.
7.5 Export all data is in Settings → Data, on every plan including the free one, at any time, without asking us. It produces contacts, invoices and their lines, expenses, bills, products, time entries, employees, payslips, bank transactions, fixed assets, the chart of accounts and the general ledger as CSVs in a ZIP, and every other record of your business in it as one file per table. Sign-in credentials and uploaded files such as receipt photos are not in it. It is not a feature we can withdraw for non-payment, and we will not.
7.6 Bear in mind that the Tax Administration Act requires you to keep the records behind a return for five years. Exporting is therefore usually an obligation of yours, not merely a convenience.
7.7 We may terminate this agreement on thirty days' written notice, or immediately for a material breach you have not remedied within fourteen days of being told about it. If we terminate for any reason other than your breach, we refund the unused part of your term pro-rata, and section 7.3 still gives you the month to export.
Your data is yours
8.1 You own Your Data. Nothing in this agreement transfers any of it to us, and holding it does not give us a claim to it.
8.2 You grant us only the licence we need to run the service: to store, process, transmit, back up and display Your Data in order to provide Ledgr to you, to support you when you ask, and to comply with the law. That licence ends when the account is closed.
8.3 We do not sell Your Data, and we do not use it to train machine learning models. Aggregate, de-identified usage figures — how many businesses use a module, how long a screen takes to load — are ours to use to improve the product.
8.4 You are the responsible party under POPIA for the personal information inside Your Data, and we are your operator. The privacy policy sets out that split, and section 2 of it is the written arrangement POPIA section 21 requires between us.
8.5 You confirm you are entitled to hold the personal information you put into Ledgr, and to instruct us to process it — including sending documents and messages to the people you address them to.
Our platform is ours
9.1 Ledgr — the software, the design, the documentation, the name and the marks — belongs to us and to our licensors. You get a non-exclusive, non-transferable right to use it for your own business, for as long as your account is in good standing. Nothing more is granted by implication.
9.2 You may not copy, modify, decompile or reverse engineer the service, except to the extent the law expressly permits despite a term like this one; nor resell, sublicense or make it available to anyone outside your business, except under a partner or practice arrangement with us.
9.3 Your name, your logo and your branding remain yours. We will not use them publicly as a customer reference without asking you first.
9.4 If you send us an idea or a suggestion, we may act on it without owing you anything. Please do not send us anything confidential that you would rather we did not build.
Acceptable use
10.1 Use Ledgr lawfully and for your own business. You may not:
- Use it to commit or facilitate an offence, including tax evasion, fraud or money laundering, or to keep a second set of books intended to misrepresent a business's affairs
- Send unlawful, misleading or unsolicited messages through it, or use its messaging to market to people who have not consented where consent is required
- Upload malware, or content you have no right to hold
- Probe, scan or test the security of the service other than under the disclosure terms on the security page, and never against another business's data
- Attempt to reach another business's account or data, by any means
- Interfere with the service or place a deliberately unreasonable load on it, including by automated scraping
- Resell access, or operate the service on behalf of others, outside a partner or practice arrangement with us
10.2 The API is rate limited to 120 requests per minute per key by default. Design your integration to back off when it is throttled rather than to retry immediately. An API key is scoped to the modules you tick and may be revoked by you at any time; we may revoke one that is being used in a way that threatens the service.
10.3 We may suspend or terminate an account that breaches this section. Where the breach is not deliberate and not dangerous, we will tell you and give you a chance to put it right first.
What Ledgr is not
Four boundaries that are product decisions rather than small print. Each is stated the same way in the app and in the documentation, because a customer who discovers one of them at the wrong moment has been let down.
11.1 Ledgr does not file with SARS
Ledgr computes your VAT201, EMP201, EMP501, IRP5s, IRP6, ITR14 and the rest from your books, shows you the figures, and produces a file. You or your tax practitioner submit it — on eFiling, or by importing it into e@syFile. There is no eFiling connection, no credentials held and nothing transmitted on your behalf, deliberately. Filing on time, and the accuracy of what is filed, remain yours.
11.2 Ledgr is not your accountant
We are a software provider. Ledgr is not accounting, tax, legal or financial advice, and using it does not create a professional relationship of that kind. The statutory rates, tables and thresholds built into it are maintained with care and updated as SARS publishes them, and they are still figures you or your advisor should check against the return you are signing.
11.3 Ledgr does not hold your money
When your customer pays an invoice by card, they pay into your own merchant account, through credentials you supplied. We are not a party to that payment, we never touch the funds, and we are not a payment service provider, a bank or a financial services provider. Any dispute about a payment is between you, your customer and your gateway.
11.4 Ledgr is not a substitute for your own copy
We back the platform up, and backups are for recovering the service rather than for restoring one row you deleted last March. Export your data periodically — it takes one click and it is on every plan. Section 7.5.
Services you connect yourself
12.1 Payment gateways, bank feeds, WhatsApp and any product you connect over the API are third-party services. You connect them with your own credentials, under your own agreement with that provider, and their terms and pricing apply to what they do.
12.2 We are not responsible for a third party's availability, its charges, its policy changes, or its decision to withdraw a facility. We are responsible for Ledgr's side of the integration, and we will fix ours.
12.3 A bank feed is read-only. Ledgr never initiates a payment from your bank account, and it does not ask for your online banking password.
12.4 Where you enable WhatsApp or email messaging, you are the sender of those messages in law. Section 15 of the privacy policy explains what that means for consent.
12.5 Store your gateway keys in Ledgr and they are encrypted before they reach our database and shown back to you only as a masked hint. Which bank account receives your money is decided by the credentials you saved, so that screen is restricted to the roles that should be making that decision.
Availability, support and offline working
13.1 We aim for 99.9% availability measured monthly, excluding scheduled maintenance, a force majeure event under section 20, and the failure of a third-party service. That is a target we work to, not a credit-bearing service level; where you need a contractual SLA, talk to us.
13.2 Scheduled maintenance is done outside South African business hours wherever possible, and we give notice of anything that will interrupt the service.
13.3 Support is by email — support@bcmobiletech.co.za for the product, billing@bcmobiletech.co.za for plans and invoices. What we undertake is on the support page. The service's own status is published at /health.
13.4 Ledgr works offline for reading: what you have already opened stays readable with no signal, and the app tells you when what you are looking at came from the device rather than the server. A limited set of writes queue on the device and are sent when the connection returns. Operations that depend on the state of the books at the moment they run — approvals, stock movements, converting a document, a payroll run, a SARS return, a bank import — are online-only by design, and the app says so. The offline guide lists exactly which are which.
What we warrant, and what we do not
14.1 We warrant that we will provide the service with reasonable skill and care, to the standard reasonably expected of a competent provider of a service of this kind.
14.2 We do not warrant that the service will be uninterrupted or free of defects. It is software; it has faults, and we fix the ones we find and the ones you report.
14.3 Beyond section 14.1 and beyond what the law implies and does not allow us to exclude, the service is provided as it is. Nothing in this section limits your rights under the Consumer Protection Act, which apply where that Act applies to you — including the right to a service performed in a manner and quality that persons are generally entitled to expect.
Limitation of liability
15.1 Subject to 15.3, our total liability to you under or in connection with this agreement, in any twelve-month period, is limited to the fees you paid us for the service in the twelve months before the claim arose.
15.2 Subject to 15.3, we are not liable for indirect, incidental, special or consequential loss, nor for loss of profit, revenue, goodwill, anticipated savings, business opportunity, or for a penalty or interest charged by a third party, however it arises.
15.3 Nothing in this agreement excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, gross negligence, or anything else that South African law does not permit to be excluded — including any liability under the Consumer Protection Act that may not lawfully be limited.
15.4 Each of us must take reasonable steps to mitigate a loss. A claim must be brought within twelve months of the date you became aware, or ought reasonably to have become aware, of the facts giving rise to it.
Indemnity
You indemnify us, our directors, employees and agents against any claim, loss or cost arising from your breach of section 10 (acceptable use), from content or personal information you put into Ledgr that you were not entitled to hold or to send, or from your use of the service in a way this agreement does not permit. We will tell you promptly about any such claim, let you conduct the defence of it, and not settle it without your agreement.
Confidentiality
17.1 Each of us will keep the other's confidential information confidential, use it only for this agreement, and protect it as carefully as our own. This obligation survives the end of the agreement for three years, and for as long as the law requires in respect of personal information.
17.2 It does not apply to information that is public through no breach, was already lawfully known, or must be disclosed by law — in which case the disclosing party tells the other first, unless it is forbidden to.
17.3 Your Data is your confidential information. Access by our staff is limited to those who need it to support or operate the service, and it is logged.
Suspension
We may suspend access, in whole or in part, where an account is being used in breach of section 10, where it threatens the security or stability of the service, or where the law requires it. We suspend the narrowest thing that addresses the problem, for the shortest time, we tell you why, and we restore access as soon as it is resolved. Suspension does not extend your term and does not entitle us to keep fees for a period during which we suspended you wrongly.
Cooling-off
19.1 Where you are a natural person who concluded this transaction electronically, the Electronic Communications and Transactions Act gives you seven days to cancel without reason and without penalty, and to be refunded what you paid, less the direct cost of returning anything supplied. Write to billing@bcmobiletech.co.za.
19.2 That right does not extend to a service that has already been performed, with your consent, before the seven days ended.
19.3 In practice we would rather you did not need it: the free plan exists so that you can use Ledgr on your own books before you pay for anything.
Force majeure
Neither of us is liable for a delay or failure caused by something beyond our reasonable control — including natural disaster, epidemic, war, civil unrest, strike, a failure of national electricity supply or scheduled load shedding beyond what our own resilience covers, a failure of national telecommunications, or the failure of a third-party platform we depend on. The affected party must tell the other promptly and do what it reasonably can to limit the effect. Where such an event continues for more than thirty days, either of us may terminate, and we refund the unused part of your term.
Changes to these terms
21.1 We may amend these terms. The date at the top says which version you are reading.
21.2 Where a change is material — anything affecting your fees, your rights, your data, or what your plan includes — we will email you at least thirty days before it takes effect. Minor changes, such as correcting a reference or clarifying wording, take effect when posted.
21.3 If you do not accept a material change, you may cancel before it takes effect and we will refund the unused part of your term pro-rata. Continuing to use Ledgr after it takes effect means you accept it.
If we disagree
22.1 Tell us first. Most disputes are a misunderstanding about what the software did, and we would rather resolve it than argue about it. Write to support@bcmobiletech.co.za and we will engage in good faith.
22.2 If we have not resolved it within thirty days, either of us may refer it to mediation in Cape Town, on terms we agree at the time.
22.3 Failing mediation, the dispute goes to the High Court of South Africa, Western Cape Division, or to the Magistrate's Court having jurisdiction — and each of us consents to that jurisdiction. Nothing stops either of us seeking urgent interim relief from any competent court at any time.
22.4 Where the Consumer Protection Act applies to you, none of this affects your right to take a complaint to the National Consumer Commission or to an accredited ombud, and a complaint about personal information goes to the Information Regulator.
General
23.1 Severability. If a provision is found invalid or unenforceable, it is severed and the rest stands.
23.2 No waiver. Not enforcing a term on one occasion does not waive it.
23.3 Assignment. You may not transfer this agreement without our written consent, which we will not withhold unreasonably. We may transfer it to a successor of the Ledgr business, on notice to you.
23.4 Entire agreement. These terms, the privacy policy and any written order or licence arrangement between us are the whole agreement, and replace anything said or written before. Where they conflict, a signed written arrangement prevails over these terms, and these terms prevail over anything on the rest of this website.
23.5 Notices. Notices to you go to the email address on your account — keep it current. Notices to us go to the address in section 24.
23.6 Relationship. Nothing here makes either of us the other's agent, partner or employee.
23.7 Governing law. South African law governs this agreement and any dispute arising from it.
